1.1 Acceptance - the Participant&#39;s full and unconditional acceptance of the Offer by registering on the Website.

1.2 Agreement - this agreement of adhesion concluded between the Organizer and the Participant who has expressed Acceptance in the manner specified in the Agreement.

1.3. Personal Account - a closed (protected) section of the Website, located at http://www.company.com, which allows the Participant, after registration and payment for the Product, to access it, report and receive information about the performance of the Agreement, and perform other actions within the scope of the Agreement.

1.4. Organizer - Company LLC, providing services in accordance with the Agreement and information on the Website.

1.5. Offer - a public offer (public offer) from the Organizer published on the Website addressed to an indefinite number of individuals to enter into an Agreement with them on the terms and conditions contained therein, as well as taking into account the information contained on the Website.

1.6. Product &ndash; a collection of lessons, webinars, practical trainings (coaching), master classes, consultations, video materials, as well as offline events, the list of which is indicated on the Website, organized and broadcast by the Organizer online via the Website.

1.7. Program 1 &ndash; a Product comprising a simplified set of events and materials as described on the Website.

1.8. Program 2 &ndash; a Product comprising, in addition to the events and materials of Program 1, additional events and materials as described on the Website.

1.9. Website &ndash; a collection of information resources owned by the Organizer, located on the Internet at http://www.company.com.

1.10. Participant &ndash; an individual who has accepted in the manner established by the Agreement and wishes to purchase one of the Products in accordance with the Agreement.

1.11. Party &ndash; a Participant or the Organizer, acting separately.

1.12. Parties &ndash; Participant and Organizer, acting separately.

1.13. Participant ID &ndash; a unique identification number assigned to the Participant upon registration on the Website.

<h2>2. General Provisions</h2>

&nbsp;

2.1. The Agreement between the Participant and the Organizer is concluded upon the Participant&#39;s Acceptance of the Offer by registering on the Website.

2.2. From the moment of Acceptance of the Offer, the Agreement is considered concluded in simple written form, does not require formal documentation, and has full legal force.

2.3. By accepting the Offer, the Participant confirms their full legal capacity and legal competence, in particular, that they have reached the age of 18, have the legal right to enter into the Agreement with the Organizer, and manage their personal data.

2.4. The Participant is responsible for the content and accuracy of the information provided upon registration on the Website.

<h2>3. Subject of the agreement</h2>

&nbsp;

3.1. In accordance with the Agreement, the Organizer undertakes to organize and provide the Participant with access to lessons, webinars, practical trainings (coaching), master classes, consultations, video materials, and offline events included in the Product purchased by the Participant (under Program 1 or Program 2), and the Participant undertakes to pay for the Product in accordance with the terms of the Agreement.

3.2. The list of events and materials included in the Product (under Program 1 or Program 2) is specified by the Organizer on the Website. The Participant confirms that they have read the information provided on the Website by accepting the Offer.

<h2>4. Execution of the contract</h2>

&nbsp;

4.1. When registering on the Website, the Participant creates a login and password, which they can use to log in to the Website and access their Personal Account.

4.2. A mandatory condition for registering on the Website is checking the &quot;I accept the terms of the Public Offer Agreement&quot; box on the &quot;Registration&quot; page.

4.3. After logging in and completing all required profile fields in their Personal Account, the Participant has the right to select one of the offered Products, namely Program 1 or Program 2, to gain access to events and materials.

4.4. Access to materials and events is granted to the Participant after full payment for the selected Product.

4.5. The content of each Product (under Program 1 or Program 2), materials, and events is determined by the Organizer independently.

4.6. Participants independently provide themselves with the technical equipment and software necessary to access the materials and activities included in the Product.

4.7. The Organizer reserves the right to suspend an online lesson, webinar, practical training (coaching), master class, or consultation if a Participant&#39;s behavior disrupts the relevant event. In this case, the Participant is not entitled to a refund of the money paid for the Product.

4.8. Providing information for the development of the Product does not result in the issuance of educational and/or qualification documents.

4.9. Providing access to events and materials does not constitute any guarantee on the part of the Organizer regarding the effectiveness of the information and/or skills acquired for the Participant&#39;s purposes. The Participant assumes full responsibility and assumes all risks associated with the use of the information and materials provided by the Organizer.

<h2>5. Cost of services and payment procedure</h2>

&nbsp;

5.1. The price of Products (under Program 1 or Program 2) is indicated on the Website and may be changed unilaterally by the Organizer at any time. The new price takes effect upon publication on the Website and does not apply to Products already paid for.

5.2. After selecting a Product (Program 1 or Program 2), the Participant transfers funds equal to the price of the relevant Product as a 100% prepayment.

5.3. Payment for the Product is made in accordance with the Organizer&#39;s details specified on the Website. The moment of payment is deemed to be the receipt of funds in the Organizer&#39;s bank account.

5.4. Payment for the Participant may be made by a third party. In this case, the payment accompanying information must include the last name, first name, patronymic, and ID number of the Participant for whom the payment was made.

<h2>6. Bonus program</h2>

&nbsp;

6.1. In accordance with the Organizer&#39;s marketing policy set forth on the Website, the Participant may be provided with the following bonuses free of charge as part of the Agreement to promote the Products offered by the Organizer:

<ul>
	<li>Provision of goods for personal use;</li>
	<li>Free use of a car for up to 1 year;</li>
	<li>Cash bonuses;</li>
	<li>Bonuses in the form of travel abroad to offline events, including accommodation, meals, and excursions;</li>
	<li>Other bonuses stipulated by the Organizer&#39;s marketing policy.</li>
</ul>

6.2. The provision of bonuses under the Agreement may be conditioned on successful development of the Product in accordance with the criteria defined by the Organizer&#39;s marketing policy set forth on the Website.

6.3. To receive the free car rental bonus, the Organizer grants the Participant four attempts, each lasting 90 days, to meet the criteria used to assess the Participant&#39;s successful use of the Product, as specified on the Website. If the criteria are not met within these four attempts, the bonus will not be awarded, unless otherwise specified by the Organizer in the Agreement or on the Website.

6.4. The Organizer&#39;s obligations under this Agreement, including the provision of bonuses to the Participant in accordance with the Organizer&#39;s marketing policy, may be fulfilled by third parties at the Organizer&#39;s discretion.

<h2>7. Personal data</h2>

&nbsp;

7.1. By accepting the terms of this Agreement, the Participant grants the Organizer consent to the processing (collection, systematization, accumulation, storage, clarification (updating, modification), use, distribution, depersonalization, blocking, and destruction of their personal data, including through the use of automated tools.

7.1.1. The Participant agrees to the transfer of their personal and other data to third parties for the implementation of affiliate and other programs, provided that the Organizer ensures the confidentiality of the transferred data.

7.1.2. The purpose of processing the Participant&#39;s personal data is to provide services under the Agreement and to enable the use of the Website&#39;s resources.

7.2. Neither Party has the right to transfer confidential information to third parties without the written permission of the other Party.

7.2.1. The Parties consider confidential information that is not publicly available on the Website and that they have transferred to each other, including, but not limited to, information about other purchasers of the Product and business plans.

7.3. Transferred information that is confidential Only those persons directly involved in the development of the Products under the Agreement may be made aware of confidential information.

7.4. The Parties will take all necessary measures to ensure that information is not disclosed and that third parties do not have access to it without the consent of each Party.

7.5. In cases stipulated by the current legislation of the territory in which the Participant operates, confidential information may be provided by either Party to authorized government agencies (including law enforcement agencies), subject to mandatory notification of the other Party.

<h2>8. Dispute resolution</h2>

&nbsp;

8.1. In the event of any dispute, the Parties shall, if possible, resolve it through negotiations. If the Parties fail to reach a unanimous decision within one month of the commencement of negotiations, the dispute shall be referred to the court at the location of the Organizer.

&nbsp;

<h2>9. Final Provisions</h2>

&nbsp;

9.1. The Agreement shall enter into force upon the Participant&#39;s Acceptance of the Offer in the manner prescribed by the Agreement and shall remain in effect until the Parties have fully fulfilled their obligations.

9.2. The Parties agree that the Organizer reserves the right to unilaterally amend the Agreement and change information on the Website. Such changes shall become binding on the Participant from the moment they are published on the Website.

9.3. Each Party undertakes to notify the other Party of any changes to its details within 5 business days. The Organizer shall notify the Participant by posting the information on the Website, and the Participant shall notify the Participant by email to the address specified on the Website.

9.4. The Participant consents to the Organizer sending correspondence, information about events, promotions, new projects, etc., to the Participant&#39;s email address.

9.5. The Parties shall not be liable for any failure, in whole or in part, to fulfill their obligations under this Agreement if such failure is due to circumstances beyond their control (force majeure), namely: floods, other natural disasters, military action, decrees and decisions of government authorities, or other events.

9.6. The Parties to this Agreement do not consider the services provided by the Organizer, included in the Product, to be educational services or educational activities.

9.7. During the execution of this Agreement, acts, invoices, supplementary agreements, and appendices to the Agreement may be issued in accordance with the requirements developed by the Organizer and posted on the Website.

1.1 Акцепт - полное и безоговорочное принятие Участником Оферты путем регистрации на Сайте.

1.2 Договор - настоящий договор присоединения, заключенный между Организатором и Участником, выразившим Акцепт в порядке, определенном Договором.

1.3. Личный кабинет – закрытый (защищенный) раздел Сайта, расположенный по адресу http://www.calmtrade.tech/office, позволяющий Участнику после прохождения регистрации и оплаты Продукта получить к нему доступ, сообщать и получать информацию об исполнении Договора, а также совершать иные действия в рамках исполнения Договора.

1.4. Организатор -  «CalmTrade», оказывающий услуги в соответствии с Договором и информацией на Сайте.

1.5. Оферта – опубликованное на Сайте адресованное неопределенному кругу физических лиц публичное предложение (публичная оферта) Организатора заключить с ним Договор на содержащихся в нем условиях, а также с учетом содержащейся на Сайте информации.

1.6. Продукт – совокупность организуемых и транслируемых Организатором в онлайн режиме посредством Сайта уроков, вебинаров, практических тренингов (коучинг), мастер-классов, консультаций, видео материалов, перечень которых указывается на Сайте.

1.7. Программа 1 – Продукт, включающий в себя упрощенный набор мероприятий и материалов в соответствии с информацией на Сайте.

1.8. Программа 2 – Продукт, включающий в себя помимо мероприятий и материалов Программы 1 также дополнительные мероприятия и материалы в соответствии с информацией на Сайте.

1.9. Сайт – совокупность принадлежащих Организатору информационных ресурсов, размещенных в глобальной компьютерной сети Интернет по адресу http://calmtrade.tech.

1.10. Участник – физическое лицо, выразившее в установленном Договором порядке Акцепт и желающее приобрести один из Продуктов в соответствии с Договором.

1.11. Сторона – Участник или Организатор, действующие по отдельности.

1.12. Стороны – Участник и Организатор, действующие отдельно.

1.13. ID Участника – уникальный идентификационный номер, присваиваемый Участнику при регистрации на Сайте.



<h2>2. Общие положения</h2>



2.1. Договор между Участником и Организатором заключается в момент Акцепта Оферты Участником путем регистрации на Сайте.

2.2. С момента Акцепта Оферты Договор считается заключенным в простой письменной форме, не требует оформления на бумаге и обладает полной юридической силой.

2.3. Совершая Акцепт Участник подтверждает свою полную правоспособность и дееспособность, в частности, достижение возраста 18 лет, законное право заключить Договор с Организатором, распоряжаться своими персональными данными.

2.4. Участник несёт ответственность за содержание и достоверность информации, предоставленной при осуществлении регистрации на Сайте.



<h2>3. Предмет договора</h2>



3.1. В соответствии с Договором Организатор обязуется организовать проведение, а также предоставить Участнику доступ к урокам, вебинарам, практическим тренингам (коучинг), мастер-классам, консультациям, видео материалам, а также проводимым в офлайн режиме мероприятиям, входящих в приобретенный Участником Продукт (по Программе 1 или Программе 2), а Участник обязуется оплатить Продукт в соответствии с условиями Договора.

3.2. Перечень мероприятий и материалов, включаемых в Продукт (по Программе 1 или Программе 2) указывается Организатором на Сайте. Участник подтверждает ознакомление с изложенной на Сайте информацией при Акцепте Оферты.



<h2>4. Исполнение договора</h2>



4.1. При регистрации на Сайте Участником формируется «логин» и «пароль», с использованием которых Участник может авторизоваться на Сайте и получить доступ к Личному кабинету.

4.2. Обязательным условием регистрации на Сайте является проставления отметки в графе «Я принимаю условия Публичного договора – оферты» на странице «Регистрация».

4.3. После авторизации, заполнения всех необходимых полей профиля в Личном кабинете, Участник имеет право выбрать один из предлагаемых Продуктов, а именно Программу 1 или Программу 2, для получения доступа к мероприятиям и материалам.

4.4. Доступ к материалам и мероприятиям предоставляется Участнику после полной оплаты выбранного Продукта.

4.5. Содержание каждого из Продуктов (по Программе 1 или Программе 2), материалов и мероприятий определяется Организатором самостоятельно.

4.6. Участник самостоятельно обеспечивает себя техническими средствами и программным обеспечением, необходимыми для доступа к материалам и мероприятиям, включенным в Продукт.

4.7. Организатор вправе приостановить проведение онлайн урока, вебинара, практического тренинга (коучинга), мастер-класса, консультации в случае некорректного поведения Участника, мешающего проведению соответствующего мероприятия. При этом Участник не вправе претендовать на возврат уплаченных за Продукт денежных средств.

4.8. Предоставление информации в рамках освоения Продукта не сопровождается выдачей документов об образовании и/или квалификации.

4.9. Предоставление доступа к мероприятиям и материалам не означает со стороны Организатора каких-либо гарантий результативности в применении полученной информации и/или навыков для целей Участника. Участник принимает на себя полную ответственность и риски, связанные с использованием информации и материалов, предоставленных Организатором.



<h2>5. Стоимость услуг и порядок оплаты</h2>



5.1. Стоимость Продуктов (по Программе 1 или Программе 2) указывается на Сайте и может быть изменена Организатором в любое время в одностороннем порядке. Новая стоимость вступает в силу с момента опубликования на Сайте и не распространяется на оплаченные к моменту опубликования Продукты.

5.2. После выбора Продукта (Программы 1 или Программы 2) Участник перечисляет денежные средства в размере стоимости соответствующего Продукта в порядке 100% предоплаты.

5.3. Оплата Продукта осуществляется в соответствии с реквизитами Организатора, указанными на Сайте. Моментом оплаты считается поступление денежных средств на расчетный счет Организатора.

5.4. Оплата за Участника может быть произведена третьим лицом. В таком случае в сопроводительной информации платежа, должно быть указаны Фамилия, Имя, Отчество и ID Участника, за которого произведена оплата.



<h2>6. Бонусная программа</h2>



6.1. В соответствии с маркетинговой политикой Организатора, изложенной на Сайте, в рамках исполнения Договора в целях популяризации предлагаемых Организатором Продуктов Участнику на безвозмездной основе могут предоставляться бонусы в следующих формах:

<ul>
	<li>бонусы в виде денежных средств;</li>
	<li>другие бонусы, предусмотренные маркетинговой политикой Организатора.</li>
</ul>

6.2. Предоставление бонусов по Договору может быть обусловлено успешным освоением Продукта в соответствии с критериями, определенными маркетинговой политикой Организатора, изложенными на Сайте.

6.3. Исполнение обязательств Организатора по настоящему Договору, в том числе предоставление Участнику бонусов в соответствии с маркетинговой политикой Организатора может осуществляться третьими лицами по усмотрению Организатора.



<h2>7. Персональные данные</h2>



7.1. Принимая условия настоящего Договора, Участник дает Организатору согласие на обработку (сбор, систематизацию, накопление, хранение, уточнение (обновление, изменение), использование, распространение, обезличивание, блокирование и уничтожение своих персональных данных, в т.ч. с использованием средств автоматизации.

7.1.1. Участник соглашается на передачу третьим лицам своих персональных и иных данных для реализации партнерских и иных программ при условии обеспечения Организатором в отношении передаваемых данных режима конфиденциальности.

7.1.2. Цель обработки персональных данных Участника заключается в оказании услуг по Договору и предоставлении возможности использования ресурсов Сайта.

7.2. Ни одна Сторона не вправе без письменного разрешения другой Стороны передавать третьим лицам конфиденциальную информацию.

7.2.1. Стороны считают конфиденциальной информацию, не размещённую в открытом доступе на Сайте, и переданную им друг другу, в том числе, но не ограничиваясь, информацию о иных приобретателях Продукта, бизнес-планах.

7.3. С переданной информацией, имеющей конфиденциальный характер, могут быть ознакомлены лишь те лица, которые непосредственно связаны с освоением Продуктов по Договору.

7.4. Стороны предпримут все необходимые меры для неразглашения информации и отсутствия доступа для ознакомления с ней со стороны третьих лиц без согласия на то каждой из сторон.

7.5. В случаях, предусмотренных действующим законодательством территории на которой действует Участник, конфиденциальная информация может быть предоставлена любой Стороной уполномоченным на то государственным органам (в том числе и правоохранительным) с обязательным уведомлением об этом другой Стороны.



<h2>8. Разрешение споров</h2>



8.1. В случае возникновения разногласий Стороны по возможности разрешают их путём переговоров. Если Стороны не придут к единому решению в течение одного месяца с начала переговоров, спор подлежит рассмотрению в суде по местонахождению Организатора.



<h2>9. Заключительные положения</h2>



9.1. Договор вступает в силу с момента совершения Участником Акцепта Оферты в порядке, предусмотренном Договором, и действует до полного исполнения Сторонами своих обязательств.

9.2. Стороны пришли к соглашению, что Организатор вправе в одностороннем порядке вносить изменения в Договор, а также менять информацию на Сайте. При этом такие изменения становятся обязательными для Участника с момента их опубликования на Сайте.

9.3. Каждая из Сторон обязуется уведомить об изменении своих реквизитов другую Сторону в течение 5 рабочих дней. Организатор уведомляет об этом Участника путем размещения информации на Сайте, а Участник – по электронной почте путем направления письма по адресу, указанному на Сайте.

9.4. Участник дает согласие на направление Организатором на электронный адрес Участника корреспонденции, информации о проводимых мероприятиях, акциях, новых проектах и др.

9.5. Стороны не несут ответственности за полное или частичное неисполнение ими своих обязательств по настоящему Договору, если такое невыполнение явилось следствием обстоятельств непреодолимой силы (форс-мажор), а именно: наводнения, других стихийных бедствий, военных действий, постановлений и решений органов государственной власти или других событий.

9.6. Стороны настоящего Договора не рассматривают оказываемые Организатором услуги, включенные в Продукт, услугами в сфере образования и образовательной деятельностью.

9.7. При исполнения настоящего Договора могут оформляться акты, счета, дополнительные соглашения и приложения к Договору в соответствии с требованиями, разработанными Организатором и размещенными на Сайте.
